These Terms of Service ("Terms") govern your access to and use of the website at hynds.ai, our client portal, demos, and any related services (collectively, the "Services") provided by Hynds.AI ("we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Services Overview

Hynds.AI provides AI consulting, strategy, custom platform development, workflow automation, system integration, and related implementation and training services for businesses. Our Services may include:

• Training and ongoing support engagements

2. Eligibility

By using our Services, you represent and warrant that you have the legal capacity to enter into these Terms and that you are using the Services on behalf of yourself or an organization you are authorized to represent.

4. Demos and Sample Data

Certain features of our website, including interactive demos and estimating tools, use sample or synthetic data for illustration purposes only. This data does not represent actual project costs, material pricing, subcontractor bids, or any real-world financial figures. Demos are provided to demonstrate the capabilities of our platform and should not be relied upon for business decisions, estimates, or financial planning. Production systems built for clients operate on their actual data under separate engagement agreements.

5. Client Engagements

Paid consulting, development, and implementation services are governed by separate engagement agreements, statements of work, or service contracts executed between Hynds.AI and the client. In the event of any conflict between these Terms and a signed engagement agreement, the engagement agreement shall prevail for the scope of that engagement.

6. Intellectual Property

All content on the Services — including text, graphics, logos, images, software, demos, tools, and underlying code — is the property of Hynds.AI or its licensors and is protected by applicable intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from our Services without prior written consent from Hynds.AI. Limited personal, non-commercial use (such as viewing demos or downloading publicly available resources) is permitted.

7. Client Portal and Account Security

If you are provided access to our client portal, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you become aware of any unauthorized use of your account or any other breach of security.

8. Confidentiality

In the course of using our Services or engaging with us for consulting, you may share or receive confidential business information. Both parties agree to treat such information as confidential, not to disclose it to third parties without prior written consent, and to use it only for the purposes of the engagement. This obligation survives the termination of these Terms or any engagement agreement.

9. Limitation of Liability

To the fullest extent permitted by law, Hynds.AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Services.

Our total liability for any claim arising from or related to these Terms or the Services shall not exceed the amount you paid to Hynds.AI, if any, during the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any results obtained from the use of the Services will be accurate or reliable.

11. Indemnification

You agree to indemnify, defend, and hold harmless Hynds.AI, its founder, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney's fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Third-Party Links and Services

Our Services may contain links to third-party websites, tools, or services that are not owned or controlled by Hynds.AI. We are not responsible for the content, privacy practices, or terms of any third-party sites. Your use of third-party services is at your own risk and subject to their respective terms and policies.

13. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, indemnification, and confidentiality — shall continue in full force.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Kootenai County, Idaho.
